This Agreement is between Grants Outdoor LLC, the owner and operator of the website christmasplug.com (“ChristmasPlug”) and the business signing up (“Installer”). It takes effect on the date Installer signs. By signing, Installer joins the GOAT Verified program on christmasplug.com for the territory and cities it selects at signup (its “Schedule A”).
1. The Program
While Installer’s membership is active and paid, ChristmasPlug provides: (1) higher ranking: GOAT Verified installers are listed above non-verified installers in the directory and on the city pages for their selected cities, shared with no more than two other GOAT Verified installers per city; (2) the green GOAT Verified badge; (3) five city landing pages, one for each selected city, built from Installer’s photos and information, each leading to a quote form that goes straight to Installer; (4) one spotlight blog post; (5) links to Installer’s website, marked “sponsored” as search engines require; (6) FREE LEADS alerts before non-verified installers are notified; (7) a badge for Installer’s own website; (8) a monthly page report; (9) a review link and QR code; (10) a rotating homepage spotlight; and (11) share-ready graphics. Pages stay live all year and feature every service Installer offers, including permanent and color-changing lighting and commercial holiday lighting. These benefits improve Installer’s visibility. They do not guarantee any number of leads, jobs or sales (see Section 4). ChristmasPlug may change, add or discontinue a benefit on 30 days’ notice by email. If a change materially reduces the benefits, Installer may cancel and receive a prorated refund of any prepaid annual fee for the unused months.
2. Territories and Spot Limits
Each metro territory accepts no more than three (3) GOAT Verified installers, and each city inside a territory no more than three (3). Spots are limited, not exclusive. Installer keeps its spots while its membership stays active and paid. If the membership ends, its spots are released and may be offered to the next installer on the waitlist. Installer may swap a selected city once every 12 months if the new city has an open spot. ChristmasPlug decides which cities belong to each territory and which pricing tier applies.
3. Fees, Billing and Cancellation
Installer pays the fee shown at checkout for its territory’s tier, monthly or annually (annual is paid upfront at 50% off). THIS IS A RECURRING SUBSCRIPTION. IT RENEWS AUTOMATICALLY AT THE END OF EACH BILLING PERIOD (MONTHLY OR ANNUAL) AND CHARGES THE PAYMENT METHOD ON FILE UNTIL CANCELLED. Installer may cancel anytime from its ChristmasPlug account page or by emailing christmasplug2025@gmail.com; cancellation takes effect at the end of the current billing period. ChristmasPlug will email Installer at least 15 days before an annual renewal. Fees already paid are non-refundable and no partial-period credits are issued, except as stated in Section 1. ChristmasPlug may change the fee on 30 days’ notice; a new price applies from the next billing period, and the current price stays locked for the rest of any prepaid annual term. If a payment fails, ChristmasPlug will email Installer. Installer has a 15-day grace period to update its payment method, during which its pages, badge and spots stay active. If payment is not made within 15 days, ChristmasPlug may pause Installer’s pages and badge. After 30 days unpaid, it may end the membership and release Installer’s spots. A late payment does not change Installer’s billing date. If Installer files a chargeback or payment dispute instead of contacting ChristmasPlug, ChristmasPlug may pause Installer’s pages and badge immediately, with no grace period, until the dispute is resolved. Optional add-ons, such as extra 5-city packs and monthly blog posts, are billed as separate recurring subscriptions on these same terms and end automatically if the main membership ends.
4. No Guarantee of Leads or Rankings
ChristmasPlug makes no guarantee of the number, quality or value of any lead, inquiry, sale or customer, or of any position in Google, ChatGPT or any other search engine or AI tool. The fee pays for the program benefits, not for any business outcome. Installer has not relied on any example or estimate of leads or income. ChristmasPlug alone decides page design and listing order.
5. Photos, Content and Pages
Installer warrants that it took each photo it uploads or has the right to use it, and that no photo shows another company’s work. Installer gives ChristmasPlug a non-exclusive, royalty-free license to use, crop, resize and display its name, logo, photos, reviews and business information on christmasplug.com and in ChristmasPlug marketing, while the membership is active and for 60 days after. Installer will keep its information current. ChristmasPlug owns its pages, page addresses, layouts and written content, and may remove, redirect or reuse them when the membership ends. ChristmasPlug may blur house numbers or remove details from photos to protect homeowners.
6. Verification and Installer Obligations
Installer’s badge goes live once ChristmasPlug receives its payment and a current certificate of insurance. Installer promises, on a continuing basis, that it: (1) is a business in good standing and the signer is authorized to sign for it; (2) holds every license and permit its work requires and follows applicable law and electrical code; (3) carries commercial general liability insurance of at least $1,000,000 per occurrence, plus workers’ compensation where the law requires, and will send an updated certificate when its policy renews or when asked; (4) does its work in a professional, workmanlike manner and deals honestly with customers; and (5) will not post fake reviews, ask others to post them, or misrepresent its business, photos or experience.
7. Leads and Homeowner Information
Quote requests from Installer’s pages go directly to Installer. Installer will respond to each homeowner inquiry within one (1) business day, year-round; use homeowner contact information only to respond to that request and never sell, share or add it to marketing lists without consent; and follow applicable laws on calls, texts and email. Installer is responsible for its own quotes, pricing, contracts and work. ChristmasPlug is not a party to those agreements.
8. Quality Standards
ChristmasPlug may issue a written strike if it reasonably finds a homeowner complaint credible and supported. Strike one: written notice and a chance to make it right. Strike two: final warning; ChristmasPlug may pause the badge or lower placement. Strike three: the membership ends and spots are released. Strikes expire after 12 months. ChristmasPlug may end the membership right away, without strikes, for fraud, fake reviews, a serious safety violation, or conduct that exposes ChristmasPlug to legal or reputational harm.
9. Badge and Name Use
While the membership is active, Installer may display the GOAT Verified badge and say it is “GOAT Verified on ChristmasPlug” on its website, vehicles, signs and social media, using the badge code ChristmasPlug provides. The license is limited, non-exclusive, non-transferable and revocable. Installer will not use “ChristmasPlug” or “GOAT Verified” in its business name, domain, social handle or paid search ads, or present itself as ChristmasPlug’s employee, agent or exclusive installer, and will remove the badge within 5 business days after the membership ends.
10. Independent Business and Liability
Installer is an independent business; this Agreement creates no partnership, joint venture, franchise, employment or agency relationship. ChristmasPlug does not perform, supervise, inspect or warrant any installation and has no liability for Installer’s work, conduct, pricing or contracts. Installer will defend, indemnify and hold harmless ChristmasPlug and its owners, employees and agents against claims, losses and reasonable attorneys’ fees arising from Installer’s work; injury or property damage caused by Installer or its crew; Installer’s breach of this Agreement or violation of law; disputes between Installer and a customer; and photos or content Installer provides. THE PROGRAM IS PROVIDED “AS IS.” CHRISTMASPLUG’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES INSTALLER PAID IN THE 12 MONTHS BEFORE THE CLAIM. CHRISTMASPLUG IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR BUSINESS, INCLUDING FROM WEBSITE DOWNTIME OR CHANGES IN SEARCH RANKINGS.
11. Term and Termination
The membership runs month to month, or year to year on annual billing, until either party ends it. Installer may cancel as described in Section 3. ChristmasPlug may end the membership for any reason on 30 days’ notice, refunding any prepaid annual fee for the unused full months, or immediately for non-payment, a breach of this Agreement, or the reasons in Section 8. When the membership ends, the badge and priority placement are removed, the pages and post may be removed or redirected, and Installer’s spots are released. Amounts already owed remain due. Sections 4, 5 (page ownership), 7, 10 and 12 survive.
12. General
Texas law governs this Agreement. Any dispute will be heard in the state or federal courts of Tarrant County, Texas, and the winning party in an enforcement action recovers its reasonable attorneys’ fees and costs. Installer may not transfer this Agreement without ChristmasPlug’s written consent; ChristmasPlug may transfer it, including to a company it forms or a buyer of the site. Notices to Installer go to the email on file and count as received when sent; notices to ChristmasPlug go to christmasplug2025@gmail.com. ChristmasPlug may update this Agreement on 30 days’ notice by email; continuing the membership after that date means Installer accepts the update, and if Installer does not accept it, its remedy is to cancel. Electronic signatures are binding. If a court finds any part unenforceable, that part is narrowed as little as needed and the rest stays in effect. This Agreement and Installer’s signup selections are the entire agreement and replace any earlier statements, including anything said on a sales call. Not enforcing a term is not a waiver.
Acknowledgment. By signing, Installer confirms that no guarantee of leads, jobs, income or search ranking has been made; the membership is a recurring subscription that renews automatically until cancelled; and its territory and city spots are limited to three GOAT Verified installers each, not exclusive.
